PARTIES

Badgeway Education and Financial Technologies Inc., located at ESENLER/ ISTANBUL, operating the website at www.idpicker.com, owned by IDPicker, shall be referred to as the “SITE,” and individuals who register on the Site shall be referred to as “MEMBERS.”

The term “visitor” will refer to both individuals who use the site without being members and members themselves.

MEMBERSHIP

By becoming a member of the Site, the Member agrees to this Membership Agreement (hereinafter referred to as the “Agreement”) and the “Terms of Use,” “Privacy Policy,” “Legal Notices and Disclaimers,” and all information and comprehensive content available on the entire Site, including those found in the explanatory sections for “Corporate Membership” packages.

IDPicker provides services to members via the Site (such as sending online certificates). Some or all of these products and services may be subject to fees.

Site membership is personal; it cannot be lent to others or transferred. The Site is not responsible for any problems that may arise from attempts to do so.

The information provided by members to the Site must be clear and accurate. The email address provided when registering on the Site must belong to the Member and be an active email address.

For system login and all correspondence related to membership, the email address provided during registration will be used.

The Site believes the email provided is correct and acts accordingly. The Site cannot be held responsible for any errors or problems arising from incorrect or false email addresses.

Certain features or services offered on or through the Site require the creation of an account (providing an email address and creating a password). Each Member's email address is used only once on the Site. All Members are responsible for protecting their Member name and password. The Site is not responsible for any misconduct that may occur otherwise. The password chosen when registering on the Site is known only to the Member. The responsibility for choosing and protecting the password lies with the Member. The Site is not responsible for any problems arising from the use of the password.

The responsibility for protecting the confidentiality of the information in the account, including the password, and any liability for any activity occurring in the account in the event that the security and confidentiality of this information cannot be ensured, rests entirely with the Member. Members agree in advance to immediately notify IDPicker of any unauthorized use of the account or password or other security breaches. If a Member fails to ensure the confidentiality and security of their account information, resulting in a third party using the Member's Site ID, email address, password, or account, the Member shall be liable for any damages incurred by IDPicker or another Member of the Site.

Members may not use another person's email address, password, or account without the explicit permission and consent of the owner of said email address, password, or account. IDPicker shall not be liable for any damage and/or loss resulting from failure to comply with these obligations, and in the event of damage and/or loss, only the Member who caused the damage and/or loss shall be liable for such damage and/or loss.

The site reserves the right to cancel membership at any time without prior notice.

MEMBERSHIP

IDPicker does not store members' credit card information in the Site's system.

IDPicker reserves the right to limit purchase quantities. IDPicker reserves the right to make changes to the products and/or services offered on the Site or to the applicable prices of such products or services at any time without the obligation to notify Members. Information on the Site regarding products and services offered or that may be offered by IDPicker at any time may become outdated, and IDPicker does not undertake to keep any information or content on the Site regarding the products and services offered on the Site continuously up to date under any circumstances.

IDPicker does not guarantee that the Site itself or any of the Site's content, services, or features will be error-free, uninterrupted, or that any defects will be corrected, nor does it guarantee that your use of the Site will produce specific results. The Site and its content are provided “as is.” All information on the Site is subject to change without notice. IDPicker does not guarantee that any file or other data downloaded from the Site is free of viruses, infectious or destructive properties. IDPicker disclaims all warranties, express or implied, including warranties of accuracy and fitness for a particular purpose. IDPicker disclaims any liability for the acts, omissions, or conduct of third parties in connection with the use of the site and/or any certification service by visitors and/or members. All liability for the use of the site and linked sites by visitors and/or members rests solely with the visitors and/or members. The remedy for any dissatisfaction with the site or its content is to cease using the site or the content in question, which is part of the agreement between visitors and/or members and IDPicker.

CONTENT RESPONSIBILITY

Opinions, comments, and other messages, photos, or videos (collectively referred to as “Member Content”) are accepted provided they are submitted in accordance with this Membership Agreement and other legal documents published on the Site. Member Content may be harmful, inaccurate, misleading, or similar in nature. IDPicker and the Site shall not be liable for any inconvenience, damage, or loss arising from Member Content.

Members are personally responsible for not providing private information in areas where comments and similar information can be entered. Therefore, IDPicker and the Site shall not be held liable for any inconvenience, damage, or loss that may arise.

The site is not responsible in any way for the content of other sites to which it provides links or banner advertisements.

The Site shall not be liable for any material or moral damage and/or loss arising from disputes between members.

The Site may monitor any content elements (such as articles, surveys, forums, photos, videos, message boards, personal messages, profiles, and similar) that enable interaction between Members currently on the Site and/or potentially in the future, on the grounds that they violate the Membership Agreement or contain elements that are offensive, illegal, or threaten the rights and safety of other Members. remove, and even terminate the relevant membership for these reasons.

Members shall not use the Site in any manner that: cannot publish or transmit in any way on the Site any illegal, defamatory, threatening, or abusive content, or content that is pornographic, offensive, or immoral, or that creates a situation that constitutes a crime, requires legal action, violates local and national laws or international agreements, or encourages such situations. Members may not post or transmit any information, software, or other material that infringes on another person's privacy or publicity rights, or that is adapted from material protected by copyright, trademark, or other proprietary rights, or that falls within the categories described above, without the permission of the owner or the person holding the rights. Members are solely responsible for any actions they take in interactive areas that violate unfair competition laws, and the Site cannot be held liable in any way for such actions.

The Site reserves the right to take legal action in cases such as sending unsolicited messages for commercial or advertising purposes to Members directly in the system or to their email addresses, redirecting Members to another website for this purpose, and using existing and future interactive areas on the Site in this manner outside the scope of the law and authority. Only the Member who sends the content is responsible for Member Content, and neither IDPicker nor the Site has any responsibility for the Member Content sent. The Member who sends the content is liable for all claims and responsibilities arising from Member Content. Members acknowledge that the Site does not monitor Member Content, but that the Site reserves the right to review and remove any Member Content for any reason, including Member Content believed to violate the rules or to be harmful to the Site, other Members, or third parties, and that neither IDPicker nor the Site has any obligation to respond to Member Content.

Members may not publish, post, or transmit any information, software, or material for commercial purposes or containing advertising; they may not make any requests or engage in advertising activities such as purchasing products from other Members or selling products to them; chain emails targeting Members for this purpose may not be created.

All rights are reserved for all written, pictorial, audio, graphic, and/or non-graphic materials such as tables found on the site. Copying these materials for publication on personal pages and/or marketing is strictly prohibited. If such materials are used on personal pages, it is mandatory to add information clearly stating the source of the material and/or the permission of the individual and commercial entity from whom the material was obtained to a clearly visible area of the page. Otherwise, the Site shall not be held liable for any legal disputes that may arise.

Members hereby irrevocably grant IDPicker a perpetual, non-transferable, royalty-free, worldwide license and right to use, copy, modify, delete, adapt, publish, translate, create derivative works based on, sell, and distribute any Member Content they submit, and to transfer such rights to any form, medium, or technology worldwide, free of charge, under any name. non-exclusive, transferable right and license to IDPicker. Therefore, Members agree in advance not to post on the Site any content, such as comments, confidential information or stories, product ideas, computer code, or original artwork and similar products, that they do not wish to license to IDPicker, including but not limited to those listed above.

PERSONAL DATA

The Site always has the right to use the information provided by its Members when registering and during other internal Site transactions, and stored in the database, to convert it into statistical information, use it in advertising and/or marketing, determine the general trends of its Members, and develop its content and services in order to provide its Members with richer content in this regard.

The site may use positive success stories related to products submitted by its members, along with any accompanying photographs, in any manner on the Internet and in written promotional materials.

TECHNICAL DIFFICULTIES

Due to technical issues, errors or interruptions may occasionally occur when accessing the Site. The Site cannot be held responsible for such disruptions or interruptions in service.

The Site shall not be held liable for any failures or problems related to any communication network, online systems, service providers, computer hardware, or software, nor for any technical issues arising from internet traffic congestion or the installation of software that may cause harm to Members or any other person.

SECURITY

The Site shall not be liable for any damages or losses arising from unauthorized persons reading member data without IDPicker's negligence (such as members sharing their information with others, failing to log out when leaving the site, and similar situations).

The Site is not responsible for the conduct of any Member, whether online or offline. Under no circumstances shall the Site be liable for any consequences arising from the use of the Site, its content, or communication and interaction between Members, whether online or offline, including but not limited to loss, damage, injury, death, or similar consequences.

FORCE MAJEURE

This Membership Agreement shall not be liable for any events that did not exist and/or could not have been foreseen at the time the Members read and accepted this Membership Agreement, and which arise beyond the control of the Members or IDPicker, rendering it impossible for one or both of them to fulfill their obligations and responsibilities arising from their relationship, either partially or completely, or to fulfill them on time, shall be considered force majeure (natural disasters, war, terrorism, insurrection, statutory provisions, seizure or strike, lockout, significant malfunction in production and communication facilities, and similar events). IDPicker shall not be liable for any failure to provide services due to force majeure. However, IDPicker shall notify its Members as soon as possible in the event of force majeure. If the force majeure event lasts longer than 20 (twenty) days, the Member who placed the order has the right to terminate the relationship with IDPicker.

COMPETENT COURT

The competent courts and enforcement offices for all disputes arising from this Membership Agreement shall be the Istanbul (Central) Courts and Enforcement Offices.

OTHER TERMS

For notifications to be made to the site, the email address contact@badgeway.com should be used.

Members hereby acknowledge and agree in advance that they shall indemnify the Site, its branches, officers, representatives, and other employees against any damages and/or losses arising from any claims, allegations, or losses that may occur in the event of a breach of the Membership Agreement.

This Membership Agreement may be amended at any time by the Site, with changes indicated on this page.
